Emaar Properties Plans Full Takeover of Emaar Development in $3.4 Billion Deal

Proposed AED15-per-share cash offer could take Emaar Development private, bringing Dubai's property development operations fully under the parent company

Emaar Properties is preparing to consolidate its ownership of Emaar Development through a proposed multibillion-dollar acquisition that could result in the subsidiary leaving the Dubai Financial Market.

The company's board has approved plans for a cash offer of AED15 per share to purchase the remaining shares held by minority investors. The proposed transaction could reach approximately $3.4 billion, placing the total valuation of Emaar Development at around $16.3 billion.

The offer represents a 19.4% increase over Emaar Development's closing share price of AED12.56 on November 2, 2026, providing minority shareholders with an opportunity to sell their holdings at a premium to the reference market price.

Emaar seeks complete control of its development business

Emaar Properties already holds a majority interest in Emaar Development, with direct ownership of slightly more than 79% of the company. An additional 1% is held through its subsidiary, Emaar Property Holdings Limited.

The proposed transaction is intended to bring the remaining minority-held shares under the group's control.

By combining ownership of its development operations, Emaar aims to simplify its corporate structure and manage funding and investment decisions through a centralised capital allocation framework.

The plan would also give the parent company greater control over the strategic direction and financial management of its UAE development activities.

Potential exit from Dubai Financial Market

A key part of the proposal is Emaar's intention to delist Emaar Development from the Dubai Financial Market.

If completed, the move would end the subsidiary's status as a separately listed company, placing its development operations fully within the parent group's corporate structure.

The proposed buyout is therefore significant not only for the companies involved but also for minority investors who currently hold shares in Emaar Development.

The final outcome will depend on the progress of the cash offer and the applicable regulatory and market requirements.

Emaar reports revenue growth despite regional uncertainty

The proposed restructuring comes as Emaar continues to report financial growth across its business operations.

The company recorded a 13% increase in revenue during the first nine months of 2026, supported by progress in its construction activities and strong occupancy levels across its shopping malls.

Emaar also approved a special dividend valued at approximately $1.2 billion, highlighting its financial performance during the reporting period.

The latest developments come amid wider economic uncertainty in the Gulf, with regional geopolitical tensions affecting sectors including tourism, travel and hospitality.

What the proposed transaction means for Dubai's property sector

Emaar's plan represents a significant corporate development for Dubai's real estate industry. The proposed consolidation would bring its UAE property development business entirely under the parent company, potentially changing how the group manages its projects, investments and financing.

For shareholders, the AED15 cash offer provides an opportunity to exit their investment at a premium to the stated reference share price.

The transaction remains a proposed acquisition, with its completion dependent on the offer process and relevant approvals. If successful, it would mark an important change in Emaar Development's ownership structure and its position on the Dubai stock market.
